Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Reynolds Software LLC (“Company,” “we,” “us,” or “our”), the operator of BirdieLab, accessible at birdielab.net and app.birdielab.net.

By registering for an account, accessing, or using BirdieLab in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are using BirdieLab on behalf of an organization (such as a school, athletic program, or coaching business), you represent that you have the authority to bind that organization to these Terms.

BirdieLab is a subscription-based golf performance coaching platform designed for college coaches, high school coaches, and private golf instructors. The platform provides tools for player roster management, round-by-round performance tracking, practice planning and assignment, recruiting pipeline management, and team communication.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

You agree to use BirdieLab only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service to harass, abuse, or harm another person
• Upload or transmit any content that is unlawful, defamatory, obscene, or otherwise objectionable
• Attempt to gain unauthorized access to any portion of the Service or any systems connected to it
• Use automated tools (bots, scrapers, crawlers) to access or collect data from the Service without our written consent
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
• Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure
• Use the Service to send unsolicited communications to players, parents, or other users
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Resell, sublicense, or otherwise commercialize access to the Service without our written consent

We reserve the right to investigate and take appropriate action against any user who violates this section, including suspending or terminating their account.

You are solely responsible for the accuracy and legality of data you enter into BirdieLab, including player information. If you enter data about minors, you represent that you have obtained all necessary consents from parents or guardians as required by applicable law.

We will maintain reasonable security measures to protect your data. In the event you cancel or your account is terminated, you may request an export of your data within 30 days of termination. After that period, we may delete your data in accordance with our data retention practices described in our Privacy Policy.

We do not sell your data or the data of your players to third parties. We may use aggregated, de-identified data to improve the Service.

Our collection and use of personal information in connection with the Service is described in our Privacy Policy. By using the Service, you consent to the collection and use of information as set forth therein.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any information provided through the Service.

BirdieLab is a performance tracking and coaching management tool. It is not a substitute for professional athletic training advice, and we make no guarantees regarding athletic performance outcomes.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, REYNOLDS SOFTWARE LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.

You agree to indemnify, defend, and hold harmless Reynolds Software LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any content you submit to the Service.

We may suspend or terminate your access to BirdieLab at any time, with or without cause, with or without notice, if we believe you have violated these Terms or for any other business reason. You may terminate your account at any time by canceling your subscription and contacting us to close your account.

Upon termination: (a) your right to access and use the Service will immediately cease; (b) we may delete your account data in accordance with our data retention practices; (c) provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be addressed by contacting us at support@birdielab.net to attempt informal resolution. If informal resolution is not achieved within 30 days, disputes shall be resolved by binding arbitration in Harris County, Georgia, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property matters.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS OR REPRESENTATIVE ACTION.

We reserve the right to update these Terms at any time. When we make material changes, we will notify you by email or by posting a notice within the Service at least 14 days before the changes take effect. Your continued use of BirdieLab after the effective date of revised Terms constitutes your acceptance of those changes.
